Welcome to Daialog Inc. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website https://daialog.io and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Definitions

  • Candidate: Job seekers using the Services to submit video-based applications.
  • Client: Individuals or entities posting jobs and evaluating Candidates.
  • Content: Any information uploaded or transmitted through the Services.
  • Account: A registered user profile on Daialog.io.

3. Eligibility & Account Registration

Clients must be 18 years or older and provide accurate, current information. If registering on behalf of a company, Clients must have the legal authority to bind that company. You are responsible for keeping your login credentials secure and notifying us at info@daialog.io of any unauthorized access. Users must follow all applicable laws and Daialog policies.

4. Description of Services

  • Candidates can submit structured video responses.
  • Clients can create job postings and evaluate responses.
  • AI-powered transcription and candidate analysis.

Daialog is not an employer or recruiter and makes no hiring decisions. It facilitates communication but cannot guarantee hiring outcomes.

5. Acceptable Use

  • Do not submit fraudulent or misleading content.
  • Do not harass or harm others.
  • Do not upload illegal or offensive materials.
  • Do not reverse-engineer or exploit the platform.
  • Do not harvest data without consent.

Violations may result in account suspension, termination, and legal action.

6. Content Ownership & License

6.1 Candidate Content

You retain ownership of your content. By using our Services, you grant Daialog a license to use, process, and share it to operate the platform. Employers may retain submissions for compliance.

6.2 Our Content

All platform materials — logos, trademarks, and copyrights — belong to Daialog. You may not use, copy, or modify them without written permission.

7. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy, including:

  • Data collection, retention, and usage practices
  • AI-based transcription and analysis
  • Rights under applicable data privacy laws

8. Third-Party Services

Daialog may integrate with or link to third-party services. We do not control or endorse them. Use them at your own risk. Review their terms and privacy policies before use.

9. Fees, Payments & Subscriptions

Some features may require payment. Payments are handled by third-party processors and are non-refundable unless required by law.

IMPORTANT: ANNUAL PLAN COMMITMENT NOTICE

Annual plans require a 12-month payment commitment. Even if billed monthly, you agree to pay for the full year. Canceling early does not stop your payment obligation - you will owe the remaining balance immediately.

9.1 Subscription Plans and Free Trials

Subscriptions may include free trials and auto-renew unless canceled in account settings before the billing date.

9.2 Plan Types and Commitments

Monthly – No Contract

Billed monthly at the rate shown at checkout. Cancel anytime.

Annual – Paid Monthly

Billed monthly for 12 months. You are committed to pay for the full 12-month term even if you cancel early.Discounted rate based on annual commitment.

Annual – Paid Upfront

Billed once annually for 12 months. Discounted rate based on annual commitment.

9.3 Annual Plan Cancellation Policy

Annual plans reflect discounted rates based on a twelve-month commitment. Early cancellation does not relieve you of payment obligations. If you cancel an annual plan before the end of the twelve-month term, the unpaid balance for the remainder of the term will become immediately due and payable.

9.4 Pricing Tiers

Each plan may have multiple pricing tiers based on company size, employee count, or other criteria. The applicable tier pricing is determined and displayed at checkout.

10. Disclaimers & Limitations of Liability

We do not guarantee hiring results. The Services are provided "as is." Daialog is not liable for employer behavior or employment-related decisions.

11. Indemnification

You agree to indemnify Daialog against claims arising from misuse of the Services, violation of these Terms, infringement of third-party rights, or employment actions related to the platform.

12. Termination

We may suspend or terminate your account for violations. Clients may request termination by contacting info@daialog.io. Termination of annual plans does not relieve payment obligations for the remaining term.

13. Dispute Resolution

These Terms are governed by the laws of Delaware, USA. Disputes will be resolved via mediation or in Delaware courts. Each party bears its own legal fees unless required otherwise.

14. Modifications to These Terms

We may update these Terms at any time by posting updates on our website. Continued use indicates acceptance.

15. Compliance and Legal Responsibilities

Accessibility and Accommodations
